Terms of Service for Veznero

Introduction

These Terms of Service (“Terms”) govern your access to and use of the Veznero platform, including the website at https://veznero.dev, the application interface, and the API at https://api.veznero.dev (collectively, the “Service”), provided by Veznero (“Veznero,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and any additional policies referenced herein. If you do not agree, do not use the Service.

Eligibility

You may use the Service only if:

• You are at least 18 years old (or the age of majority in your jurisdiction), or using it under the supervision of a legal guardian; and
• You have the legal capacity to enter into binding agreements.

By using the Service, you represent that you meet these requirements.

Accounts and Authentication

• Access: The Service is accessed via accounts provisioned by Veznero (e.g., workspace owners or administrators). Public self-registration may be disabled at our discretion.
• Security: You are responsible for safeguarding your credentials and activity under your account, including actions taken by users you invite to a workspace.
• Accuracy: You must provide accurate information when creating accounts or workspaces (“Tenants”) and update it as necessary.
• Restrictions: You may not share, sell, rent, or otherwise transfer your account or access tokens except in accordance with Veznero’s instructions or policies.

Description of the Service

Veznero is a multi-tenant SaaS platform for provable client reporting from CSV metrics. Core capabilities include:

• Workspace (Tenant) isolation: Each workspace is logically separated; one tenant’s data is not mixed with another’s within our systems, subject to applicable technical and legal constraints.
• CSV import: You may upload CSV files up to 5 MB or 50,000 rows per file, as enforced by system limits that we may adjust over time.
• Deterministic analytics: Veznero computes totals, trends, metrics, and period-over-period insights using rule-based logic designed so that the same input yields the same output. These computed values are the authoritative basis for any AI-generated summaries.
• Sentinel (AI-assisted summaries): Where enabled, an auditable AI layer (“Sentinel”) can generate narrative summaries strictly from pre-computed insight snapshots—not directly from raw spreadsheet rows—subject to per-workspace policies and rate limits. Each summary includes lineage metadata linking it to the underlying insights, model, policy version, and prompt hash used.
• Audit logs: Workspace owners may access audit logs related to their workspace’s activity as implemented in the Service.

We may modify, suspend, or discontinue features (including Sentinel) at any time with notice where practicable.

Use Restrictions

You agree not to, and not to allow others to:

• Violate applicable laws or third-party rights;
• Upload content that is unlawful, infringing, defamatory, harassing, or otherwise objectionable;
• Introduce malware, bots, scrapers, or automated tools beyond what is explicitly permitted via our API documentation;
• Attempt to reverse engineer, decompile, disassemble, or extract source code from the Service (except as allowed by law);
• Bypass access controls, rate limits, or security measures;
• Use the Service for high-risk decision-making without independent verification (e.g., medical, legal, financial advice) unless explicitly permitted under a separate agreement.

User Content and Data

“User Content” includes CSV files, configurations, workspace settings, prompts, summaries, and any other materials you upload or submit via the Service.

• Ownership: You retain all rights to your User Content. Veznero does not claim ownership of your underlying data.
• License to us: To provide the Service, you grant Veznero a worldwide, non-exclusive license to store, process, display, and transmit your User Content as necessary for operational purposes (including backups, analytics, and AI-assisted features) in accordance with these Terms and our Privacy Policy.
• Accuracy and responsibility: You are responsible for ensuring that your use of the Service and any generated reports complies with applicable laws and third-party rights, including data protection, confidentiality, and client consent obligations.

Artificial Intelligence (Sentinel) – Key Terms

Where you choose to use Sentinel or similar AI-assisted features:

• Basis: Summaries are generated from pre-computed insight snapshots, not directly from raw CSV rows. The deterministic analytics layer is the source of truth for numbers.
• No guarantee of correctness: AI outputs are assistive and may contain inaccuracies, omissions, or outdated phrasing. You must independently verify any information before relying on it in client communications, regulatory filings, or legal contexts.
• Lineage: Each AI-generated summary includes lineage metadata (e.g., insight snapshot reference, model identifier, policy version, prompt hash) to support traceability within the Service. This lineage is provided for transparency and audit purposes only and does not constitute a warranty of accuracy or compliance.
• Prohibited uses: You must not use Sentinel outputs to impersonate humans, mislead clients about the nature of AI assistance (where disclosure is required), or in ways that violate applicable law or third-party rights.

Intellectual Property

• Veznero IP: The Service’s software, architecture, branding, UI/UX, documentation, and proprietary methodologies are owned by Veznero and its licensors. Your use does not transfer ownership to you.
• Limited license: Subject to these Terms and any applicable subscription or agreement, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Service for your internal business purposes only.
• Restrictions: You may not remove, alter, or obscure proprietary notices; create derivative products based on our platform without permission; or resell/white-label the Service unless explicitly agreed in writing.

Third-Party Services and Integrations

The Service may integrate with third-party providers (e.g., AI model providers, hosting infrastructure). Such services are governed by their own terms and policies. We do not guarantee the availability, accuracy, or security of third-party systems beyond what is reasonably required to operate the Service.

Privacy and Data Protection

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, process, store, and share personal data. By using the Service, you consent to such processing in accordance with that policy and applicable law.

Payment, Billing, and Plans (if applicable)

• Current status: At present, Veznero may be offered without integrated billing or under arrangements defined separately between you and us.
• Future changes: If we introduce paid plans, subscriptions, usage-based pricing, or invoices in the future, those will be governed by additional terms or a separate agreement that you must accept before use.

Service Availability; No SLA (Unless Stated)

Except where explicitly stated in a written agreement with Veznero:

• We do not guarantee uninterrupted, error-free, or fully secure access to the Service.
• We are not liable for delays, outages, data loss, or business impacts resulting from service interruptions, maintenance, upgrades, or third-party failures, except as required by law.

Termination and Suspension

• By you: You may stop using the Service at any time.
• By us: We may suspend or terminate your access immediately if you breach these Terms, misuse the Service, or for safety/legal reasons. In such cases, we will provide notice where legally required and reasonably practicable.
• Effect of termination: Upon termination, your license to use the Service ends. We may retain certain data as necessary for legal, audit, or backup purposes in accordance with applicable law and our Privacy Policy.

Disclaimers; Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or uninterrupted operation.
• We do not warrant that AI-generated summaries are error-free, unbiased, or suitable for any specific regulatory, legal, financial, medical, or safety-critical use case without independent verification.
• In no event shall Veznero, its officers, employees, contractors, or affiliates be liable to you or any third party for indirect, incidental, special, consequential, or punitive damages (including lost profits, business interruption, data loss, or reputational harm), even if advised of the possibility of such damages.
• Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total amounts you paid to Veznero for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100), except where exclusion is prohibited by law.

Indemnification

You agree to indemnify and hold harmless Veznero and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms, applicable law, or third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law principles, except where mandatory consumer protection laws apply.

Any dispute arising out of or related to these Terms or the Service shall be resolved:

1. First through good-faith discussion between you and Veznero; and
2. If unresolved within 30 days, by the courts located in Pulaski County, Arkansas, unless otherwise required by law.

Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. Material changes will be communicated via the website, within the application, or through direct notice where appropriate. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

Entire Agreement

These Terms, together with any specifically referenced policies (e.g., Privacy Policy) and any separate written agreement between you and Veznero regarding the Service, constitute the entire agreement concerning your use of the Service and supersede prior understandings or representations.
